D Action Consultancy — General Conditions of Sale (English, governed by Malaysian law)

These General Conditions of Sale apply to all sales and services offered by D Action Consultancy through its websites and any other online sales channels operated by D Action Consultancy. By placing an order you accept these conditions in full. If you do not agree with any clause do not place an order.

Definitions

Company: D Action Consultancy, trading as D Action Consultancy. Contact email: david@daction.co. Company registration and tax numbers are not included here and may be inserted where required.
Client: any natural or legal person who places an order with the Company and whose order is accepted by the Company.
Products: digital goods such as online courses, downloadable materials, and any physical items that the Company may sell.
Services: coaching, workshops, seminars and other live or scheduled services supplied by the Company.
Order: the Client’s validated request to purchase Products or Services from the Company.

Scope and acceptance These conditions govern all sales of Products and Services to Clients. Each Order accepted by the Company constitutes a contract under these conditions. Any different or additional terms proposed by a Client will not apply unless expressly accepted in writing by the Company.
Age requirements Clients must be at least 16 years old to purchase Products. Clients must be at least 18 years old to purchase Services that include coaching, workshops or seminars. The Company will make reasonable efforts to restrict access by minors. If the Company learns that a Client or newsletter subscriber does not meet the age requirements the Company will remove the subscriber and refund the Client for any purchases that violate the age policy after the Client returns or ceases to use the Product or Service as required by the Company.
Products and Services description The Company provides descriptions of Products and Services on its websites. These descriptions form part of the contract except when the Company expressly states that a specific description is provisional. Images of Products are for illustration only. For digital Products the Company will describe the format, technical requirements and typical delivery or access timing.
Orders and contract formation An Order is placed when the Client completes the purchase process and payment is authorised. The Company will confirm acceptance of the Order by email. A contract is formed when the Company sends the Order confirmation email. The Company may refuse or cancel Orders at its discretion for reasons including suspected fraud, inability to supply, or non‑compliance with these conditions.
Price and taxes Prices displayed on the Company’s websites are in Malaysian Ringgit (MYR) unless otherwise stated and include any taxes that the Company is required to collect. The Company will apply the price shown at the time the Client places the Order. Shipping fees for physical items, if any, will be shown separately at checkout. If tax rules change after an Order is placed, prices already accepted in confirmed Orders are not subject to retrospective increase by the Company.
Payment Payment is due immediately when the Order is placed. The Company accepts payments processed by Stripe. The Client authorises the Company to charge the chosen payment method for the total price of the Order. Cardholder verification and card security are provided by Stripe. The Company will not have responsibility for the security of card details entered into Stripe beyond selecting and using Stripe as the processor. The Company does not accept American Express unless otherwise stated.
Delivery and access

Digital Products and online course access: Access details will normally be provided immediately after payment or within 24 hours. The Company will state any exceptions such as scheduled course start dates. It is the Client’s responsibility to provide a valid email address to receive access instructions.
Live Services: For coaching, workshops or seminars the Company will provide dates, times and delivery methods at booking. If an event is rescheduled the Company will notify Clients promptly.
Physical items: If the Company offers physical items the Company will deliver to the address provided at checkout. Risk of loss or damage to physical items passes to the Client when the carrier collects the parcel from the Company’s premises. The Company will assist with claims for damaged or lost shipments according to the Company’s shipping policy.

Severability: If any provision of these Terms is held invalid that provision will be severed and the remaining provisions will remain in force.
Assignment: The Company may assign its rights and obligations under these Terms. The Client may not assign rights without the Company’s prior written consent.
